By creating an account or using TruePlate, you agree to these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the Service.

TruePlate is a business-to-business (B2B) service designed for restaurants and food service businesses. By using the Service, you represent that you have the authority to bind your business to these terms.

2. Account Creation and Access

TruePlate operates on an invite-only basis. Accounts are created by TruePlate staff upon request. To get started:

• Contact us at support@trueplate.ai with your restaurant details
• We will set up your account and restaurant profile
• You will receive login credentials to access the Service

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Permitted Use

You may use TruePlate to:

• Capture and create 3D models of your restaurant's menu items
• Manage menu item information, descriptions, and pricing
• Generate and share QR codes linking to AR menu experiences
• Access analytics about menu item views and engagement

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload content that infringes on third-party intellectual property rights
• Attempt to reverse engineer, decompile, or hack the Service
• Share your account credentials with unauthorized parties
• Use the Service to capture content you do not have rights to

4. Content Ownership and License

Your Content

You retain ownership of the original photos and menu information you provide. However, by using TruePlate to generate 3D models and other content, you grant us the following rights:

License to TruePlate

You grant TruePlate a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to:

• Use, reproduce, modify, and display 3D models generated through the Service
• Create derivative works from generated content
• Use content for improving our services and training machine learning models
• Feature your content in marketing and promotional materials
• Sublicense these rights to third parties

This license survives termination of your account. You are not entitled to compensation for TruePlate's use of content generated through the Service.

Our Content

TruePlate and its licensors own all rights to the Service, including software, design, trademarks, and documentation. You may not copy, modify, or distribute our content without written permission.

5. Public Menu Pages

When you publish a menu item, TruePlate generates a public web page displaying:

• The menu item name, description, and price
• The 3D model with AR viewing capability
• Your restaurant name, logo, and branding

This public page is accessible to anyone with the link or QR code. You are responsible for ensuring published content is accurate and appropriate.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may:

• Perform maintenance that temporarily affects availability
• Update or modify features with or without notice
• Suspend or terminate the Service at our discretion

We are not liable for any loss or damage resulting from Service interruptions.

7. Fees and Payment

TruePlate pricing is determined on a per-customer basis. Your specific terms, including pricing and payment schedule, will be communicated when your account is created.

8. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be revoked
• Published menu pages may be taken offline
• Our license to generated content survives termination
• We may retain data as required by law or for legitimate business purposes

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or available at all times.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUEPLATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless TruePlate, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit or publish through the Service

12. Governing Law

These Terms are governed by the laws of the European Union and the Republic of Ireland. Any disputes shall be resolved in the courts of Dublin, Ireland.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.
